A post-contractual restriction is a rule written into a contract that limits what someone can do after the contract ends. For example, it might prevent a former employee or business partner from working for a competitor, stealing your customers, or sharing your trade secrets for a set period of time after they leave.
Example
You hire a sales manager who builds relationships with all your top clients, and your contract includes a post-contractual restriction saying she cannot contact those clients for her own business for two years after she resigns.
Watch Out
Courts will throw out these restrictions if they are too broad, too long, or cover too large a geographic area, so you need a lawyer to draft them carefully or they may not protect you at all.
