Definition
Provider Background IP refers to the ideas, inventions, software, tools, or other intellectual property that a contractor or service provider already owned before they started working with you. This pre-existing material belongs entirely to the provider, even if they use it to complete your project.
Example
If you hire a web developer and they build your site using a coding framework they created years before meeting you, that framework is their Background IP and they can use it for other clients too.
Watch Out
Make sure your contract clearly identifies what the provider considers their Background IP upfront, so you are not surprised to learn that key parts of your project actually belong to them and not to you.
