Definition
Entire understanding refers to a clause in a contract that declares the written agreement to be the complete and final deal between the parties, replacing anything discussed or promised before signing. This means that verbal promises, emails, or earlier drafts that contradict the written contract no longer count as part of the agreement.
Example
If a vendor verbally promised you free delivery during negotiations but the final contract contains an entire understanding clause and says nothing about free delivery, you cannot hold them to that verbal promise in court.
Watch Out
Read every contract carefully before signing because an entire understanding clause means you lose the ability to enforce anything that was promised to you but left out of the written document.
