entire agreement
Definition
An entire agreement clause is a section in a contract that says the written document in front of you is the complete and final deal between both parties, replacing any earlier conversations, emails, promises, or handshake deals that came before it. It essentially wipes the slate clean of everything that was said or agreed upon during negotiations, so only what appears in the signed contract actually counts.
Example
You and a supplier spent weeks emailing back and forth, and they promised you free shipping in those emails, but the final contract has an entire agreement clause and says nothing about free shipping, meaning you cannot hold them to that promise.
Watch Out
Before you sign anything with this clause, read the contract word for word to make sure every promise and term you negotiated made it into the final written document, because anything left out is gone for good.
