Definition
The disclosing party is the person or business that shares private or confidential information with someone else, usually under a non-disclosure agreement (NDA). Think of it as the one handing over the secrets, whether that's a business idea, financial data, customer lists, or trade secrets. The other person receiving that information is called the receiving party.
Example
If you share your secret sauce recipe and business plan with a potential investor under an NDA, you are the disclosing party and that investor must keep your information confidential.
Watch Out
As the disclosing party, you need to clearly label or identify what information is confidential at the time you share it, because unmarked information may not be legally protected if a dispute ever arises.
