Definition
Delivery in legal terms means the intentional transfer of a document, item, or property from one person to another in a way that shows both parties agree the transfer is complete. It is not just about physically handing something over but about both sides understanding that ownership or responsibility has officially changed hands. Courts look at whether the person giving the item truly intended to give up control of it.
Example
When you hand a signed contract to your supplier and they accept it, that act of delivery makes the contract legally binding between you two. Simply leaving a signed contract on your desk does not count as delivery because you have not yet transferred it to the other party.
Watch Out
Even if you physically hand over a document, delivery may not be legally complete if you attached conditions to it that the other party never agreed to.
