Definition

Control mechanisms are the rules, systems, and oversight structures that one party uses to direct or manage how another party operates or makes decisions. In a business context, these can include things like approval requirements, reporting obligations, or the power to hire and fire key personnel. Courts look at control mechanisms to figure out who is really running the show in a business relationship.

Example

If you hire a worker and tell them exactly when to show up, what tools to use, and how to complete each task, those instructions are control mechanisms that suggest the person is your employee rather than an independent contractor.

Watch Out

The more control mechanisms you exercise over a worker or business partner, the more legal responsibility you may take on for their actions, so it is worth reviewing those relationships with an attorney.
